mar 16, 2023 - a. Over the next few weeks, we hired a lawyer and began working up a Membership Interest Redemption Agreement document to remove Mark from Melt Mob LLC with the stipulations that he was wanting along with all supporting documentation.

Chris was working through Darren, as James had completely disassociated himself with the situation, along with Mark’s nephew Matt Buckner, and Mel had also begun to throw her hands up in frustration of how her husband was acting and just wanted this all to be over and get an offer to them.
b. Darren had advised Rob and Chris to not talk to Mark and confirmed the stipulations that should be in the agreement, and he felt that if we did those, he could assist with getting everything signed by Mark. The three main stipulations were:
i. Increasing the beach rent to fair market value. Rob and Chris had a third partner commercial realtor do a fair market value assessment for rent with comps in the area.
ii. Identify the company debt amounts and assess the 15% total for Mark to pay to release his liability.
iii. Reconcile the difference between what Mark flushed into the company recently and pay him back if warranted.
c. Chris and Rob sent the offer to Darren who was in turn going to talk with Mark and Mel. Darren reached out a few days later and expressed that Mark was not happy with the offer and that essentially Mark was not talking to him or his wife much anymore and he was going sort of rouge.
