a. Looking back, Chris and Rob aren’t exactly sure why it was going to save money because it had to be registered in Florida anyway for minimal cost. There was no existing operating agreement between Rob, Chris, and Mark under this LLC and it was discussed to work out an OA in the near future. Mark insisted that this was a good move due to Delaware having good LLC protections. He expressed that he had never run any business through it.
b. Mark eludes to having an “existing” Federal EIN for Let’s Create LLC which wasn’t registered until Jan 23rd.
c. Looking back at texts, Mark also eludes to owning all the shares of Let’s Create LLC as to imply that he owns all of what Melt Mob LLC is doing right now just because he opened some bank accounts with Let’s Create LLC and is plans to order clover equipment and setup payroll with that LLC. Again, nothing was in writing and Rob and Chris had not agreed to any percentages or that Let’s Create LLC would even be the operating LLC moving forward. Mark’s suggestion to use this LLC was derived from saving the company a few hundred bucks and to be some sort of stop gap in the meantime until something was in writing of the plan moving forward.
d. Mark said that he would be getting his lawyer on the phone with everyone to discuss a potential plan and potentially write up a new OA. This meeting was never setup and a new OA was never drafted.
