As part of Cullen's continued efforts to undermine Nicola Six's Producer's Cut, on
16 February 15, 2015, Cullen's attorney Feig emailed Nicola Six's attorneys that there was no operative Director Agreement between the parties. Moreover, Feig claimed that the COE signed by Cullen was without any legal effect:
The document your client refers to is a Certificate of Engagement ("C of E") that was signed specifically for the sole and limited purpose of assisting the production in bringing in a specific piece of additional production financing mid production ...Both the scanned version of this C of E, as well as the hard copy of the C of E, emailed and mailed to Sarah Dubman and Philip Rosen, your client's production lawyers at the time, contained VERY SPECIFIC language stating in pertinent part " ... Per our conversation today, this document is being signed and sent subject to, and conditioned upon, the conclusion of the negotiations of the material terms to Mat's director agreement and the complete execution of that agreement"
As such, your client has been well aware for over a year that the C of E was for the very limited purposes it could be used for and it cannot in any way be construed, or misconstrued, by your client to represent a grant of any rights by Mathew Cullen, his loan out, etc.
Thus, Cullen repudiated the Director Agreement and the COE. He falsely claimed Nicola Six did not own the results and proceeds of Cullen's directing services.
